Acceptance and scope

If you do not agree to these Terms, do not use the Site. Product evaluations, proofs of concept, subscriptions and professional services are governed by the applicable order form, statement of work or other written agreement. If that agreement conflicts with these Terms, it controls for the covered services.

We may update these Terms from time to time. The date above shows when this version became effective. Continued use of the Site after an update constitutes acceptance of the revised Terms to the extent permitted by law.

Eligibility and authority

You may use the Site only if you can form a binding contract under applicable law. If you use the Site for a company or other organization, you represent that you are authorized to accept these Terms on its behalf.

Acceptable use

You may access and use the Site for legitimate business and informational purposes. You must comply with applicable law and must not:

• probe, scan, test or attempt to breach the Site or any connected system without our prior written authorization;
• introduce malware, harmful code or content intended to disrupt, damage or gain unauthorized access;
• bypass access controls, interfere with normal operation or place an unreasonable load on the Site;
• scrape, harvest or use automated means to extract Site content except as permitted by law or a written agreement;
• impersonate another person, misrepresent your affiliation or submit false or misleading information;
• reverse engineer or attempt to derive non-public source code, methods or systems, except where such restriction is prohibited by law; or
• use the Site to violate another person’s rights, including privacy and intellectual-property rights.

Security services and authorization

Nothing on the Site gives you permission to test Cylent, another customer or any third party. Any security work performed by Cylent requires written authorization from the party legally entitled to grant it and a documented scope defining the approved targets, techniques, timing and constraints.

You are responsible for obtaining all permissions needed for assets or environments you ask Cylent to assess. Marketing examples and research materials are illustrative and do not guarantee that the same findings or outcomes will apply to your environment.

Intellectual property and feedback

The Site, its design, software, text, graphics, trademarks and other content are owned by Cylent or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive and non-transferable right to view and use the Site for its intended purpose.

If you voluntarily provide suggestions or feedback, you permit Cylent to use them without restriction or payment, provided we do not identify you as the source without permission.

Third-party services and content

The Site may link to or rely on services operated by others. Cylent does not control and is not responsible for their availability, content, security or privacy practices. Your use of a third-party service is governed by that provider’s terms. Our handling of personal information is described in our Privacy Policy.

Disclaimers

To the maximum extent permitted by law, the Site is provided “as is” and “as available.” Cylent disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and uninterrupted or error-free operation.

Site content is general information, not legal, compliance or professional advice. We do not promise that Site information is complete, current or suitable for a particular decision.

Limitation of liability and indemnity

To the maximum extent permitted by law, Cylent and its affiliates, personnel and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunity, arising from or related to the Site.

Where liability cannot be excluded, it will be limited to the greatest extent permitted by applicable law. You agree to defend and indemnify Cylent from third-party claims, losses and reasonable costs arising from your unlawful use of the Site or material breach of these Terms.

Suspension and termination

We may restrict or suspend Site access when reasonably necessary to protect the Site, users or third parties, to comply with law, or to address a suspected violation of these Terms. Provisions that by their nature should survive termination—including ownership, disclaimers, liability and general terms—will survive.

General terms

These Terms and our Privacy Policy are the entire agreement concerning use of the public Site. If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Cylent may assign them in connection with a reorganization, financing, merger, acquisition or sale of assets.

These Terms are governed by the laws applicable to the Cylent entity operating the Site, without regard to conflict-of-law principles. Any dispute must be brought in a court of competent jurisdiction, unless applicable law requires otherwise.
